Three, count ’em, three, U.S. Attorneys (Brooklyn, Manhattan, and New Jersey)are investigating Lehman Brothers.  Subpoenas are flying for e-mails that might contradict the public statements Lehman executives made in the days and weeks prior to its financial collapse and bankruptcy declaration.  Former Lehman executives (12, count ’em, 12) who have received subpoenas include Robert S. Fuld, Jr. (former CEO), Joseph Gregory (former president), and Erin Callan (former CFO). 

Two former Bear Stearns managers, Ralph Cioffi and Matthew M. Tannin, were indicted in June for securities, mail, and wire fraud.  The Barometer will attempt to keep you posted as Wall Street unravels (in many different ways).

Starbucks and Leases and Social Responsibility

The terms are quite nearly synonymous:  Starbucks and social responsibility.  Fair-trade coffee beans.  Health care for employees.  Happiness all around.  However, like msot businesses in this economic downturn, Starbucks must cut back on its planned expansion.  The company has placed a red light on 600 planned openings.  Fewer stores, fewer costs of operation, and more profits.  The problem is that there are landlords who hold leases on those planned 600 spots.  And, landlords being who they are, want rent.  Starbucks says it is excused.  Landlords say Starbucks is driving down property values by allowing the leased spots to lie fallow.  Continue reading

When you don’t downsize, what do employees with no work do? Toyota helps us out.

Toyota stopped manufacturing trucks at its Princeton, Indiana plant.  So, what to do with 4,000 workers who have no work to do?  Toyota has the employees in training, working on their management and job skills.  The employees also work together in classrooms to develop more efficient ways to put vehicles together.  Toyota will ramp up production again in November, but in the mean time, its workers are still part of the company and are using the time to learn and improve.  Downsizing?  Nope, at Toyota, it’s upgrading.

The Branchflower Report on Palin

Be sure to note that The Barometer was on top of this government ethics issue on July 31, 2008, a full month before Governor Palin was tapped for the vice president’s slot on the Republican ticket.  The report by independent investigator Stephen E. Branchflower into allegations that Governor Palin fired her Commissioner of Public Safety for not firing her former brother-in-law is out, and here’s the news:  (1)  This was one wacky state trooper at the heart of the problem — I’m no prude, but Tasering children and having a beer whilst in your patrol car does cross a a few legal and ethical lines; (2) Governor Palin and the first dude probably should have kept their distance from the investigation into the trooper’s conduct; and (3) the Commissioner of Public Safety was a defiant sort who, serving at the discretion of the Governor, needed to go.  The legal conclusion of Mr. Branchflower’s report is that Governor Palin “abused her power” in violation of an Alaska statute that prohibits the use of power for personal benefit.  The case is a classic one of a step over the line for good intentions.  Continue reading

Where There’s Sizzle . . .

A few weeks ago I was giving a speech and had included in my materials a slide that listed the companies that have suffered financially because of ethical lapses.  I explained that I was missing Bear Stearns and Lehman’s because my handouts were due before we lost those companies in the Wall Street shuffle.  A participant objected, “But you have Fannie Mae on there already!”  I explained that Fannie Mae had been on the list since 2005 because of its $7 billion accounting fraud back then.  He was stunned, “Fannie Mae had problems in 2005?”  Yes, and if we had cleaned house back then, how different Fannie, our mortgages, and perhaps our markets would look today.  ‘Tis a rare thing that a company takes us by surprise in terms of its collapse.  There are always faint signals.  And, in some cases, there was sizzle.  We failed to scout out the steak.  Bring me any company over which we are currently clicking our tongues and I will show you that the signals of “Trouble Ahead!” were there. Martha Stewart Should Have Kept the Stock

ImClone was the company in which Martha Stewart owned stock that she unloaded the day before its CEO (her friend) announced that FDA approval for the company’s anti-cancer drug, Erbitux, would be delayed which led federal investigators to Martha’s door with questions about fortuitous timing which led to broker’s spinning tales of deceit and backdated orders to sell and altered phone logs which then led to Martha’s indictment and conviction for obstruction which then led to jail time.  Eli Lilly will be paying $6.5 billion for ImClone (that’s $70 cash per share) because Erbitux is a great drug.  Martha unloaded her shares for $58 to beat the next day’s decline.  With Erbitux sales climbing, the best is yet to come for ImClone share owners. The moral of the story?  Make good investments and hang onto them.  Beating the market nets losses that often include jail time. Ironically, MSO, Martha’s company was at $70 a share before she was indicted.  MSO traded just above $6.00 today.  Her company never recovered its share price despite good earnings performance.  Ah, priceless trust.

Absolute Truth Found in Texting

Texters, e-mailers, Blackberryites, and iPhone users – Beware!  We can tell what you were doing and when you did it.

First, there is the sad tale of the texting engineer.  Just seconds before the fatal collision of a Los Angeles commuter train with a freight train, the commuter train’s engineer sent a text message.  Engineer Robert Sanchez received a text message at 4:21:03.  He sent a text message at 4:22:01.  The crash occurred 22 seconds later.   Continue reading

That “Tone At the Top” Thing: Fuld, AIG and St. Regis

As a firm believer in shareholder activism’s ability to bring about governance reforms, I am loathe to admit that government intervention may be necessary in certain circumstances.  But, when I am right, I say so.  When I am wrong, I also say so.  AIG spent $443,000, including $23,000 for spa treatments, at a California St. Regis resort for a retreat for top-performers that was held within one week of the government’s rescue loan of $85 billion to the mismanaged firm.  This conduct is akin to that of the friend who orders steak and lobster just after borrowing rent money from you.  Continue reading

A Conflicts Is a Conflict Is a Conflict . . . Gwen Ifill

PBS journalist Gwen Ifill is scheduled to moderate tonight’s vice presidential debate.  Yesterday, news broke that Ms. Ifill has a book scheduled for release on Inauguration Day.  The title of the book is “The Breakthrough:  Politics and Race in the Age of Obama.”  The book refers to Mr. Obama’s “stunning” campaign.  The book is a conflict of interest.  Ms. Ifill had two choices:  (1) Disclose the book (which she did not); or (2) Don’t serve as moderator.  All the other dismissive pooh-poohs appearing here and there are rationalizations.  There are only two ways to manage a conflict:  Don’t or Disclose.  Ms. Ifill herself pooh-poohs those of us who worry, always, about conflicts,  Continue reading

Bonus for Voting Early and Often

A mother sent around her son’s e-mail cry for help, “If I can get 35 people to e-mail into the magazine that does the rankings, I get a $500 bonus.  All they have to do is send in an e-mail (preferably from a different computer each time and definitely using a different e-mail address) that says that they have used our company and how great their experience with us was.”  Mom explained that her son’s company was trying to keep its top standing in the magazine’s rankings of the businesses around the state and assured her recipients, “This worked last year, so help Todd out and send in your votes for his company.”

You receive the note from “mom,” but you wonder whether stuffing the ballot box is ethical.  You also have never used Todd’s company. “Mom” responds to your concerns, “You know they are a good company.  But you don’t have to do this.  Just don’t report Todd or call and ask any questions.  Todd could get into trouble even though his supervisor never raised any objections to how they get the 35 votes.”  Evaluate Todd’s and “Mom’s” conduct.

Former KB CEO Settles Backdating Case with SEC for $7 Million

Former KB Home CEO agreed to pay $7 million to settle SEC charges that he backdated stock options granted to him by the company.  Bruce Karatz, known for being a brilliant marketer of homes, did not admit any wrongdoing as part of the settlement.  Mr. Karatz stands out among the executives charged with backdating because he continued to backdate even after Sarbanes-Oxley was passed in 2002.  Most execs read the writing on the wall as well as the actual statute and stopped fooling around with options dates once SOX passed.  Mr. Karatz rolled forward right into 2006 on options backdating.
